On November 7, 2022, Gaia announced that it was subject to an “investigation by the staff of the U.S. Securities and Exchange Commission (“SEC”) Denver Regional Office (“Staff”)” that commenced in June 2020. clarified. According to the company, “In September 2022, Gaia and Gaia’s Chief Financial Officer (CFO) reached an agreement in principle with staff on a framework for fully resolving the investigation.”The company said, “In principle, this agreement is intended to allow Gaia to consent to the entry of administrative orders without acknowledging or denying the findings of any investigation. and (b) failed to comply with the SEC whistleblower protection requirements with respect to the terms used in the termination of one employee and the termination of another employee. (2) require Gaia to pay civil penalties totaling $2,000;[,000] 1 year for these violations. At the same time, the CFO agrees to enter management orders without acknowledging or denying the findings of the investigation. (2) CFO demands that he pay a $50 civil fine[,000]”
