NetScientific PLC (AIM:NSCI), which invests, develops and commercializes life sciences/healthcare, sustainability and technology companies, has announced enhancements to its board of directors, including the appointment of Ed Hooper as Executive Director .
As announced on May 19, 2022, Hooper has joined as General Counsel, Group Company Secretary and Executive Director of EMV Capital Limited. He will continue these roles in addition to his new role as director of the company. Hooper joined the international law firm Trowers & Hamlins LLP as a partner and was responsible for leading and developing the corporate finance team in London.
It also announced the appointment of Dr. Jonathan Robinson as a non-executive director of the company, also effective immediately, and said Clive Sparrow will resign as non-executive director of the company effective December 31, 2022.
Dr. Robinson will chair the Company’s Audit Committee and will be a member of the Compensation and Nominating Committees. He is an experienced company director and entrepreneur with a focus on business development. Most recently, he chaired the board of directors of Afilias, an international top-level domain registry he is an operator (until its sale in December 2020).
He previously co-founded the publicly traded Group NBT PLC (formerly NetBenefit), which eventually became NetNames Group. From 1999 he served as the Group’s Board of Directors and Chief Operating Officer until June 2009.
Commenting on the board changes, the company’s chief executive officer, Dr. Irian Illiev, said: We operate at both the public and private company level and look forward to working with him on the Board and its committees. He added: “The search for a new chairman for the company continues to progress, with a senior recruitment agency being appointed and many discussions taking place with prospective candidates.
In other matters, NetScientific announced that current Non-Executive Chairman John Clarkson will exercise options over 127,488 ordinary shares worth five pence each in the company’s capital, at an aggregate exercise price of £58,007.04. announced that there is Granted options over 45,801 shares to Dr. Robinson. A company enters into a Director Co-Investment Framework Agreement with certain directors.
